Terms of Service

1. General

These Terms of Service govern the contractual relationship between Grwster LLC ("Agency") and its clients. By engaging our services, you accept these terms.

2. Services

The Agency provides performance marketing services (e.g., ad management on Meta, Google, TikTok).

3. Media Budgets & Payment

The Client is solely responsible for paying media budgets directly to the advertising platforms. The Agency does not advance media costs.

4. Limitation of Liability for Budgets & Overspends

Budget Management: While the Agency strives to adhere to agreed media budgets, technical settings on advertising platforms are subject to third-party algorithms.

No Liability: The Agency explicitly assumes no liability for budget overruns ("overspends"), platform glitches, or technical errors resulting in higher costs than planned.

Monitoring: The Client is responsible for monitoring credit card charges. The Agency is not liable for refunds of wasted ad spend.

5. No Guarantee of Results

The Agency provides services to the best of its knowledge. However, the Agency does not guarantee specific results (e.g., number of leads, sales, or specific ROAS). Past performance is not indicative of future results.

6. Third-Party Platforms & Account Bans

The Agency has no control over the policies of advertising platforms (e.g., Meta, Google). The Agency is not liable if an ad account or business manager is restricted or banned. Such events do not release the Client from the obligation to pay for services rendered.

7. Client Cooperation

The Client agrees to provide necessary assets (images, videos, access) in a timely manner. Delays caused by the Client will not result in refunds and may extend project timelines.

8. Intellectual Property

Upon full payment of all fees, the Agency grants the Client a usage right to the creative assets created specifically for the Client. Until full payment, all rights remain with the Agency.

9. Jurisdiction

These terms are governed by the laws of the State of Wyoming, USA.

10. Severability

Should individual provisions of these Terms of Service be invalid or unenforceable, this shall not affect the validity of the remaining provisions. The parties agree to replace the invalid provision with a valid one that comes closest to the economic intent.
